Dentons advised BNP Paribas Bank Polska on a PLN 150 million (approximately €35 million) financing to Software Mind Group, a dynamically growing software house with a strong position in the European and American markets. The majority shareholder of Software Mind is the Enterprise Investors fund, while the Warsaw-stock-exchange-listed company Ailleron is among the minority shareholders.

The funds will be used for the acquisition of shares in the US company Prosoft LLC and for the further operational and strategic development of the Group.

This is the second transaction in which Dentons has advised BNP Paribas Bank Polska in supporting the development of Software Mind’s business, following an earlier financing project in April 2022.

The transaction, which included negotiating and concluding finance documents, was supervised by partner Bartosz Nojek, Co-Head of the Banking and Finance practice in Dentons’ Warsaw office. Jakub Zienkiewicz (counsel) led the project, with assistance from Aleksandra Czyż (senior associate) and Paulina Surma (associate), from the Banking and Finance team.
