Bird & Bird’s Warsaw office lawyers have advised Energa Green Development sp. z o.o., Energa’s subsidiary from the Orlen Group, on the acquisition from ONDE S.A. (GK Erbud) and Goalscreen Holdings Limited (affiliated with the Neo Energy Group) of all the shares in the SPV, which is the owner of the Szybowice wind power generator project with the installed capacity of 37.4 MW located in the Opolskie province.

Bird & Bird advised Energa Green Development on the transaction, in particular carrying out legal due diligence of the SPV, providing transactional advice and assisting in negotiations of the SPA. The Corporate & M&A team was supported by the Energy & Utilities practice on the legal and administrative, as well as regulatory aspects of the transaction.

Energa Green Development was advised by a team of lawyers led by Artur Stosio (Counsel, Corporate and M&A practice), who was supported by Jacek Kawecki (Associate, Corporate and M&A practice), Wojciech Korga (Senior Associate, Energy & Utilities) and Tomasz Chabrzyk (Associate, Energy & Utilities). The Bird & Bird team was supervised by Rafał Dziedzic (Partner, Corporate and M&A practice).

“The acquisition of the Szybowice wind farm project is another RES project we have advised Energa on. We wholeheartedly congratulate all parties on conducting the transaction smoothly and we are delighted to be able to support the ORLEN Group on its intensive increase of the installed capacity in RES,” said Artur Stosio.
