The Warsaw team of the international law firm Taylor Wessing advised GS Staalwerken Groep B. V. in connection with the management buyout of shares in Smulders Polska sp. z o.o., a company owned by GS Staalwerken Groep.

Taylor Wessing provided comprehensive legal advice covering preparation of the sale process and negotiation of transaction documentation, including the share purchase agreement and a number of corporate documents. The team also supported the client in the structuring of acquisition financing, which included preparation of the legal documentation for the loan granted to the buyers by GS Staalwerken and the tying in of the loan to bank financing.

The transaction is an excellent example of the synergies resulting from the work of the corporate team and the banking and finance team. The tight time schedule and the dynamic economic environment typical for the current times posed an additional challenge. Clients expect us to provide quick and appropriate solutions that not only protect them from a legal perspective but also are commercially justified,” said Olav Nemling, Partner and Co-head of the Commercial, corporate and capital markets team in the Taylor Wessing office in Warsaw.

The transaction was led by Partner Olav Nemling, supported on corporate matters by Tymon Wilk (Senior Associate) and Mateusz Sikorski (Associate), and on the legal aspects of transaction financing by Antoni Goraj (Counsel) and Pawel Skura (Senior Associate).
