Addleshaw Goddard is proud to have advised ORLEN S.A., one of Central and Eastern Europe’s largest energy companies and a regional leader in fuel retailing and refining, on its acquisition of 100% of shares in S54 sp. z o.o. from Synthos S.A., a leading European producer of synthetic rubber and polymer materials. S54 is currently constructing a butadiene extraction unit at Production Plant in Płock, Poland. The new facility will produce butadiene – a key raw material for synthetic rubber and other chemical products – and supply additional by-products, further supporting ORLEN’s growth in the sector.

The transaction, valued at approximately PLN 692 million (EUR 163 million), was signed and closed on 18 December 2025. It involved navigating a complex contractual landscape between ORLEN, Synthos, and S54, including the renegotiation of supply and offtake agreements.
